                                                                                    DUE DILIGENCE

As a condition precedent to closing, the prospective purchaser of the sixteen lots shall conduct thorough due diligence. In essence the puchaser will be "stepping into the shoes" of Riverbend LLC and will become responsible for the developer obligations of Riverbend LLC.  Riverbend LLC will provide sufficient documentation to the prospective purchaser for due diligence purposes.
